All Content on the BrightWay Enterprises website, including our branding, methodologies, analytical frameworks, and proprietary software, is the exclusive property of BrightWay Enterprises and is protected by intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any of our Content without our prior written consent.
Deliverables created specifically for a Client during an engagement become the property of the Client upon full payment of all associated fees, subject to BrightWay Enterprises retaining rights to its underlying methodologies and pre-existing intellectual property.
Both parties agree to maintain the strict confidentiality of all proprietary or sensitive information disclosed during the course of the business relationship. This includes trade secrets, financial data, strategic plans, and client lists.
Confidential information shall not be disclosed to any third party without explicit written consent, except as required by law or as necessary to fulfill the obligations under the Service Agreement.
If you submit feedback, testimonials, or comments to us, you grant BrightWay Enterprises a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and distribute that content for marketing and promotional purposes.
You warrant that any content you submit does not infringe upon the intellectual property or privacy rights of any third party.
The information and services provided by BrightWay Enterprises are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for accuracy and excellence, we make no express or implied warranties regarding the completeness, accuracy, reliability, or suitability of the website or the information contained therein.
We do not guarantee specific financial results, market performance, or operational outcomes as a result of implementing our consulting recommendations. Business involves inherent risks, and all strategic decisions remain the responsibility of the Client's management.
To the maximum extent permitted by applicable law, BrightWay Enterprises, its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services.
This includes, but is not limited to, loss of profits, revenue, data, goodwill, or business interruption, regardless of whether we were advised of the possibility of such damages. In no event shall our total aggregate liability exceed the total amount paid by you to BrightWay Enterprises for the specific services giving rise to the claim during the six (6) months preceding the claim.
You agree to indemnify, defend, and hold harmless BrightWay Enterprises and its personnel from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved first through good-faith negotiations between the parties.
If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in Pune, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be English.
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Subject to the arbitration clause above, you agree to submit to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India, for the resolution of any legal matters arising from these Terms.
